All,
Making this change in texexec.ini cured (maybe) the problem. At least my file
\starttext \framed {Lets see if it works.} \stoptext
compiled.
%for miktex set TeXFormatFlag to --undump=
for miktex set TeXFormatFlag to &
I am still very hesitant about my setup. I am hoping that Grzegorz
Sapijaszko or Ed L. Cashin are out there (or other Miktex gurus) and may
have something to help me with this problem.

There are quite some miktex users on this list so ..
This may be version dependent: the --switch is more safe for win2K and
alike, so we need to decide on that; what does the miktex manual say on that?

MiKTeX 2.0 does support -undump= for both TeX and MetaPost.
Also, to solve the MetaPost problem (was that you or somebody
else? I'm getting confused ...) you may try changing the config
files substituting "-progname" with "-alias".
