With standard

pandoc in.html -o out.md

pandoc should not be retrieving external media.  (Using --verbose should give you verbose information about anything it is fetching.  Perhaps you're doing something else, but if so please give more complete information about the exact command line you're using.  --extract-media=never will just extract media into a directory 'never', as the manual says.  --reference-links also has nothing to do with fetching resources.
